Pulse Platform End User Licence Agreement

Important: By activating your account, selecting “Sign In”, accessing, or continuing to use Pulse, you agree to this End User Licence Agreement.

1. Who these terms apply to & Priority of Terms

These terms form a legally binding agreement between you and Pulse Technologies Limited (“Pulse”, “we”, or “us”). They apply to each person who accesses or uses the Pulse platform.

Your organisation may also have a separate master subscription agreement or enterprise agreement with Pulse Technologies Limited. That agreement governs the overarching commercial relationship; these terms govern your individual use. In the event of any direct conflict or inconsistency between this EULA and a separate signed Master Services Agreement between Pulse Technologies Limited and your organisation, the Master Services Agreement will prevail to the extent of the inconsistency.

2. Licence to use Pulse
Pulse grants you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the platform for legitimate activities of the organisation that authorised your account.

3. Account responsibilities

You agree to provide accurate information, protect your login details, use reasonable security practices, and promptly report suspected unauthorised access. You must not share an individual login where separate accounts are available.

4. Fair and acceptable use
Use must be reasonable, lawful, and consistent with the intended purpose of Pulse.

You must comply with our Acceptable Use Policy.
– Do not access another organisation’s workspace or information without authority.
– Do not disrupt, probe, bypass, or overload the platform or its security.
– Do not scrape, reverse engineer, copy, resell, or create a competing service from Pulse, except where law expressly permits.
– Do not upload unlawful, harmful, misleading, or rights-infringing content.
– Do not use automation in a way that creates excessive traffic or materially affects other users.

5. Content and data
Your organisation retains ownership of uploaded content. You grant Pulse the limited rights needed to host, process, back up, and display it to provide the service. You confirm and represent that you have all necessary rights and authority to upload and use the content, and that doing so does not infringe any third-party intellectual property or privacy rights.

6. Volunteer Access and No User Fees
Pulse is committed to supporting volunteers. Individual volunteers using Pulse for an authorised organisation will not be charged any user licence fees, subscriptions, or platform usage charges by Pulse.
For the avoidance of doubt, this fee waiver applies strictly to platform access provided by Pulse. It does not cover, and Pulse is not responsible for, any personal network, internet access, mobile data usage, or telecommunications charges that an individual volunteer may incur from their personal service provider to access or use the platform.

7. Privacy and Communications

Pulse handles personal information in accordance with the New Zealand Privacy Act 2020 and our Privacy Policy, including fulfilling Information Privacy Principles (IPPs) relating to data security, access, and correction rights. Your organisation may separately decide why and how volunteer, member, or event information is collected. System-generated notifications and transactional emails will be sent in compliance with the Unsolicited Electronic Messages Act 2007.

8. Availability and changes
Pulse aims to provide a reliable service but cannot promise uninterrupted or error-free access. Maintenance, security work, and events beyond reasonable control may affect availability. Pulse may improve, replace, or retire features with reasonable notice where a paid core function is materially affected.

9. Third-party services and beta features
Integrations depend on third-party providers and may be subject to their terms. Beta or preview features may change or end and are supplied without service-level commitments unless stated otherwise.

10. Suspension and termination
Pulse may restrict or suspend access where reasonably necessary for security, unlawful activity, non-payment by the subscribing organisation, material breach, or risk of harm to the platform or others. Where practical and legally permissible, Pulse will provide written notice and 14 days to remedy the breach before suspending access, unless immediate suspension is required to prevent security breaches, legal liability, or platform disruption.

11. Intellectual property and feedback

Pulse Technologies Limited and its licensors own the platform, software, workflows, branding, and documentation. Pulse may use feedback to improve the platform without payment, but does not acquire ownership of confidential customer information merely because it is provided as feedback.

12. Limitation of Liability & Consumer Rights

To the maximum extent permitted by law, Pulse is not responsible to an individual user for indirect or consequential loss.Consumer Guarantees Act 1993: Nothing in these terms limits, excludes, or restricts any rights, warranties, or liabilities that cannot lawfully be excluded under New Zealand law, including the Consumer Guarantees Act 1993 (CGA) and the Fair Trading Act 1986. If you are acquiring access to Pulse for the purposes of a business, you agree that the provisions of the CGA do not apply.

13. Changes to Terms and Governing Law

Pulse may update these terms from time to time by giving reasonable prior notice of material changes. If a material change detrimentally affects your rights, you or your subscribing organisation may terminate platform access prior to the effective date of the change without penalty. Continued use after the effective date constitutes acceptance of the updated terms. These terms are governed by and construed in accordance with the laws of New Zealand, and disputes will be subject to the exclusive jurisdiction of the New Zealand courts.

15. Location Verification

Some organisations may enable Geo-Locking for self-service check-in and checkout. When you choose to use that function, your browser may ask for permission to obtain your device’s current latitude and longitude.

Foreground Processing: The request occurs only in the foreground at the time you initiate check-in or checkout. Pulse does not use background location watchers or continuously monitor your location.

Data Minimisation: Your browser uses the coordinates temporarily to calculate the straight-line distance to the event venue. Raw coordinates are not transmitted to, stored by, or made viewable through Pulse. Pulse records only the outcome of the verification and the related attendance transaction.

User Control & Fallbacks: You may decline or withdraw browser permission at any time. If Geo-Locking is active, self-service check-in or checkout will then be unavailable and you must use an available kiosk or ask an authorised kiosk operator to record your attendance.

Disclaimer: Location Verification may be affected by device settings, signal quality, browser support, and device location accuracy. It is an attendance-verification aid, not an emergency, safety, or continuous tracking service
